23-03-2026

New activity is brewing for Technology & Telecommunication Acquisition ( (TETEF) ). The company has submitted a Form DEFM14A to the SEC, indicating an upcoming shareholder vote. This form gives shareholders all the information they need to develop an informed vote.

Technology & Telecommunication Acquisition Corporation is a Cayman Islands exempted special purpose acquisition company focused on effecting a business combination with operating businesses, primarily via mergers and related transactions. Through a two‑step process involving a reincorporation merger into TETE Technologies Inc. as PubCo and a subsequent merger of its subsidiary with Bradbury Capital Holdings Inc., the group will create a new listed entity, Bradbury Capital Inc., with Holdings as a wholly owned subsidiary.

The company has called an extraordinary general meeting on March 30, 2026, to seek shareholder approval for the business combination with Bradbury Capital Holdings, related reincorporation steps, a corporate name change to Bradbury Capital Inc., new governing documents, and a Nasdaq‑mandated share issuance. Investors will also vote on an incentive plan for the combined company and the issuance of up to 110 million new PubCo shares as consideration valued at $1.1 billion, which will significantly expand the equity base and formally establish the combined structure as the post‑deal listed vehicle.
